1. Agreement to Terms

These Terms and Conditions ("Terms") govern your access to and use of the Vantara website and consulting services. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our website or services.

These Terms constitute a legally binding agreement between you ("Client," "you," or "your") and Vantara ("Company," "we," "our," or "us").

2. Definitions

• "Services" refers to business consulting services provided by Vantara, including Strategic Growth Advisory, Operational Efficiency Review, and Market Positioning Workshop.
• "Agreement" means these Terms together with any service-specific engagement agreement.
• "Deliverables" refers to written reports, frameworks, and other materials produced during the engagement.
• "Confidential Information" includes all non-public information exchanged between parties.

3. Eligibility and Capacity

To engage our services, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Represent an organization with authority to engage consulting services
• Provide accurate and complete information during engagement

4. Service Description

Vantara provides business consulting services focused on strategic planning, operational improvement, and market positioning. Each service engagement includes:

• Initial assessment and stakeholder consultation
• Analysis and recommendation development
• Written deliverables as specified in service descriptions
• Follow-up sessions as outlined in engagement terms

Services are provided based on information and access provided by the client. Service scope, timeline, and deliverables are detailed in individual engagement agreements.

5. Engagement Process

5.1 Initial Consultation

Initial consultations are provided to assess fit and discuss potential engagement scope. These consultations do not constitute formal service delivery.

5.2 Proposal and Agreement

Following consultation, we provide a written proposal outlining service scope, timeline, deliverables, and fees. Services commence upon signed agreement and receipt of initial payment.

5.3 Client Responsibilities

Clients are responsible for:

• Providing timely access to necessary information and personnel
• Designating appropriate stakeholder representatives
• Reviewing and providing feedback on deliverables
• Making final decisions on implementation of recommendations

6. Fees and Payment

6.1 Service Fees

Service fees are fixed as stated on our website or in engagement proposals. Fees are quoted in Thai Baht (฿) and include all standard deliverables and follow-up sessions as specified.

6.2 Payment Terms

• 50% payment due upon engagement agreement signing
• Remaining 50% due upon delivery of final deliverables
• Payment accepted via bank transfer or other agreed methods
• Overdue payments subject to interest at 1.5% per month

6.3 Additional Costs

Travel expenses, if required beyond Bangkok metropolitan area, are billed separately with prior client approval. All other costs are included in stated fees.

7. Intellectual Property

7.1 Deliverables

Upon full payment, clients receive a non-exclusive, non-transferable license to use deliverables for internal business purposes. Vantara retains all underlying intellectual property rights.

7.2 Methodologies and Tools

All consulting methodologies, frameworks, and tools remain Vantara's proprietary intellectual property.

7.3 Client Information

Clients retain all rights to their proprietary information, data, and materials provided during engagements.

8. Confidentiality

Both parties agree to maintain confidentiality of:

• All information designated as confidential
• Business strategies, financial data, and operational information
• Proprietary methodologies and deliverables

Confidentiality obligations survive engagement termination for five years. Standard non-disclosure agreements are executed for all engagements.

9. Warranties and Disclaimers

9.1 Our Warranties

We warrant that services will be:

• Performed with professional care and competence
• Delivered by qualified consultants
• Based on sound methodology and analysis

9.2 Disclaimers

Consulting services are advisory in nature. We disclaim warranties regarding:

• Specific business outcomes or results
• Implementation success by client organization
• Market conditions or external factors
• Decisions made based on recommendations

SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY OR FITNESS FOR PARTICULAR PURPOSE.

10. Limitation of Liability

To the maximum extent permitted by Thai law:

• Our total liability shall not exceed the fees paid for the specific engagement
• We are not liable for indirect, consequential, or special damages
• We are not liable for client's implementation decisions or outcomes
• Claims must be brought within one year of service completion

11. Termination

11.1 Termination by Client

Clients may terminate engagements with 14 days written notice. Fees for work completed plus 25% of remaining engagement fees are due upon termination.

11.2 Termination by Company

We may terminate engagements with 14 days notice or immediately for non-payment, breach of confidentiality, or other material breach.

11.3 Effects of Termination

Upon termination, client receives deliverables completed to that date. Confidentiality obligations continue. Outstanding fees become immediately due.

12. Dispute Resolution

Disputes shall be resolved through the following process:

1. Informal Resolution: Parties attempt good faith negotiation for 30 days
2. Mediation: If unresolved, submit to mediation in Bangkok
3. Arbitration: Binding arbitration under Thai Arbitration Institute rules

13. Governing Law

These Terms are governed by Thai law. Disputes not resolved through arbitration fall under jurisdiction of courts in Bangkok, Thailand.

14. General Provisions

14.1 Entire Agreement

These Terms together with engagement-specific agreements constitute the entire agreement between parties.

14.2 Amendments

We may modify these Terms with 30 days notice. Continued use of services indicates acceptance of changes.

14.3 Assignment

Clients may not assign rights or obligations without written consent. We may assign to affiliates or successors.

14.4 Severability

If any provision is found invalid, remaining provisions continue in full effect.
